I'm not certain - as I understand it, the key you get is good for either upgrade or clean install. Also, there are instructions online for generating bootable media from the download you get. It's pretty straightforward.

I created the bootable media and did a fresh install to dual boot with my xp64 system. Worked perfectly. I can't guarantee what would have happened if it hadn't found XP on the system, though.
